# What Anthropic's S-1 says, in plain English

> The S-1 runs to hundreds of pages. This is a plain-language walk through the parts people ask about, using only what the filing and the other cited sources say. Each section names where in the S-1 to check it.

## The short version

Anthropic wants to sell Class A common stock to the public and list it on Nasdaq as ANT. It has filed the paperwork but not set a price range or share count, and the registration statement is not yet effective, so nothing can be bought yet.

The numbers it discloses show very fast revenue growth, a smaller operating loss than a year earlier, a huge net loss from accounting for convertible instruments, a lot of cash, and very large multi-year bills for computing power. Control stays with a trust and the co-founders rather than ordinary shareholders.

## How big and how fast

Revenue was $41 million in 2023, $386 million in 2024 and $4,585 million in 2025. In the first six months of 2026 it was $16,286 million, compared with $1,163 million in the first six months of 2025.

For the three months ended June 30, 2026 the S-1 says revenue grew 1,368% year over year. It also says past growth is not a reliable guide to the future.

Most revenue is consumption-based: $13.1 billion, or 80% of the total, in the first half of 2026. Cloud-provider marketplaces carried 48% of revenue in that period.

## Why the net loss is so much bigger than the operating loss

In the first half of 2026 the operating loss was $693 million, but the net loss was $80,748 million. The gap is mainly a $72,388 million charge for the change in fair value of convertible notes, derivative liabilities and SAFEs, a line below operating loss. It is an accounting measure of how those instruments were valued during the period.

Anthropic also reports non-GAAP measures it defines itself. Adjusted Operating Income was $1,618 million (a 10% margin) and Adjusted Net Income was $2,671 million for the half-year. Net cash provided by operating activities was $3,929 million, compared with $1,513 million used a year earlier.

## Cash, funding and debt

As of June 30, 2026 Anthropic held $131,651 million in cash, cash equivalents and short-term investments, and says it has raised $141.1 billion in total. Total indebtedness was $6.2 billion, the principal on convertible notes issued to Amazon.

## The big bills: compute

Compute and infrastructure was the largest expense line: $8,945 million in the first half of 2026 against $2,334 million a year earlier.

The notes put expected future fixed or minimum guaranteed commitments at approximately $265.6 billion as of June 30, 2026, with terms from one to 20 years. The named agreements include at least $44.9 billion with Microsoft, at least about $114.5 billion with Google, at least $110.0 billion with Amazon and up to $120.5 billion with SpaceXAI. Many are non-cancelable regardless of usage. The summary headline total is blank in this filing.

## Who pays Anthropic

As of September 30, 2026 Anthropic had more than 11,900 customers at $100,000 or more of trailing-twelve-month revenue, up from more than 950 a year earlier, more than 1,900 at $1 million or more and approximately 250 at $10 million or more.

No single customer was above 10% of revenue for the nine months to September 30, 2026, but the top five were about 25%. Anthropic also says over 90% of the contributions to its own codebase in September 2026 were written by Claude.

## Who controls it

Class A stock, the one being offered, gets one vote a share. But a Long-Term Benefit Trust with five Trustees will hold a single Class T share that lets it elect and remove directors making up a majority of the board. A Founder LLC of the seven co-founders will hold a single Class F share carrying 50.1% of the total voting power on matters put to stockholders generally. Those two shares carry no economic rights.

Anthropic is a Delaware public benefit corporation, so directors must weigh stockholders' financial interests against the interests of those affected by its conduct and its stated purpose. It describes the whole setup as having no direct public company precedent. It also says it will be a controlled company under Nasdaq rules.

## The government dispute

The S-1 describes a fight with the U.S. Department of War over supply-chain-risk designations. A district court largely sided with Anthropic on August 27, 2026. The D.C. Circuit went the other way 2-1 on September 25, 2026, and Anthropic has asked the full court to rehear the case. It says it cannot predict the outcome.

Separately, it says the Commerce Department imposed worldwide export restrictions on two models in June 2026 and that it disabled them for all customers until the restrictions were lifted.

## What is still blank

The price range, share counts, net proceeds, pro forma columns, prospectus date, third-quarter 2026 revenue, Run-Rate Revenue as of October 31, 2026, the compute headline total and lock-up release counts are all empty in this version. We list them on the key numbers page and will update when an amended S-1 fills them in.
